Terms of Service
Important — please read before you accept: these Terms limit our liability (see "Disclaimer & Liability"), make you responsible for your own products, sales and delivery when you use Vendo'ma (see "Vendo'ma Service Terms"), and explain when fees are and are not refundable (see our Refund Policy).
1. Agreement
By accessing magorosmartsystems.co.za, TradeIQ Mentor landing, or any Magoro Smart Systems service, you agree to these Terms. If you do not agree, do not use the site.
2. Company & Ecosystem
Magoro Smart Systems owns and operates:
- Magoro HQ — Internal operating system, not a public product.
- TradeIQ Mentor — Live product — AI trading discipline coaching, not financial advice.
- WattLink — In Development — smart electricity management.
- Ketra Voice — Available Now — AI voice and WhatsApp assistant, included as Ketra Voice Lite in NEXACT AI Business, or available as a paid add-on (Ketra Text, Ketra Voice) or standalone.
- NEXACT — Available Now — Service (done-for-you digital foundation), not a software product.
- Vendo'ma — Available Now — Service (done-for-you WhatsApp storefront setup and management: business profile, catalog, AI agent and payment link), available with NEXACT or standalone.
3. No financial, legal, or municipal advice
TradeIQ Mentor enforces discipline, it does not provide financial advice, signals, or guaranteed profits. WattLink does not replace licensed electrician or municipal billing authority. Use your own judgment.
4. NEXACT Service Terms (Summary)
- Pricing (source of truth): Starter R2,999 setup + R199/mo, Growth R5,999 + R399/mo (Most Popular), AI Business R9,999 + R799/mo (includes Ketra Voice Lite), Enterprise from R25,000+ custom. Ketra Voice add-ons: Ketra Text +R399/mo (R1,500 once-off setup; WhatsApp automation — messaging billed separately by Meta, no markup), Ketra Voice Starter +R899/mo (150 min/mo included, R3.50/min after) or Ketra Voice Growth +R1,499/mo (400 min/mo included, R3.50/min after), each Ketra Voice plan with a R2,500 once-off setup that includes your phone number and call forwarding, or bundle NEXACT Growth + Ketra Voice Starter for R1,199/mo.
- Process: Identity Block (Gate 1) → Intake Protocol (Gate 2) → 7-day SLA (Gate 3). 48-72h staging after Gate 1 complete.
- Client obligations: Provide assets within 7 business days per SLA, accurate business info, logo rights.
- Monthly retainer: Covers hosting, business email, security, speed, 1h updates (Growth), reports (AI Business), support. Starts at go-live. Cancel anytime — you keep domain if paid.
- Not included at launch: There is no client app or dashboard. We send you value reports on WhatsApp instead of logins.
- Full NEXACT contract will be provided at qualification call and governs over this summary.
5. Vendo'ma Service Terms (Summary)
- Pricing (source of truth): Starter R1,499 setup + R399/mo, Growth R2,999 setup + R699/mo, Managed Concierge R1,499 setup + R1,999/mo. Managed Concierge adds ongoing catalog updates, price changes and seasonal promotions handled by us from the information you send. There is no fixed minimum term.
- Process: You complete the setup form and accept these Terms and our policies → we send your setup invoice → work starts once the setup fee is paid → go-live. Any timelines we give are estimates: they depend on how quickly you give us accurate information and on approvals by Meta and your payment provider, which we do not control.
- Monthly fee: Starts at go-live and covers running and supporting your storefront and AI agent as described for your tier.
- You are the seller: Magoro Smart Systems sets up and runs the technology. You, not us, sell to your customers and are responsible for your products, prices, stock, delivery, returns, refunds, customer service, taxes and compliance with the law, including the Consumer Protection Act and Meta's commerce policies. We do not hold your customers' money: payments go to your own payment provider account. We do not provide delivery or courier services, stock control, accounting or advertising unless we agree otherwise in writing.
- Third-party platforms and costs: Vendo'ma depends on WhatsApp/Meta and on your payment provider (for example PayFast, Yoco or Ozow). Their terms, approvals, fees and availability apply. Meta bills your WhatsApp messaging directly to you at Meta's rates, with no markup from us, and payment providers charge you their own fees. If a platform declines, limits, suspends or changes its service or prices, we will reasonably help you respond, but we are not responsible for that decision.
- Your content: You confirm that the information, logo, photos and descriptions you give us are accurate and that you have the right to use them. You allow us to use them to build and run your storefront. You must not sell anything illegal or prohibited by Meta's policies. If the AI agent gives an incorrect answer, tell us promptly so we can correct the information it uses.
- Ending the service: Cancellation and refunds are handled in our Cancellation Policy and Refund Policy, which apply to Vendo'ma in the same way as to our other services.
6. Fees, Payment and Price Changes
- Invoices: Setup and monthly fees are payable as shown on your invoice, by the payment method stated on it. Amounts are in South African Rand (ZAR).
- Late or missed payment: If an invoice is not paid by its due date we may suspend the service after notifying you in writing. Unpaid invoices remain due until you cancel as set out in our Cancellation Policy.
- Price changes: We may change our prices. We will give you at least 30 days' written notice before a change affects your monthly fee. If you do not accept the change, you may cancel before it takes effect and you will not be charged the new price. Price changes do not affect periods you have already paid for.
- Third-party costs: Charges from Meta, payment providers and other third parties are separate from our fees and are paid by you directly to them.
7. Acceptable use
Do not: scrape, attempt to breach security, upload malicious code, impersonate, or attempt prompt injection or abuse against Ketra Voice or any AI feature on our site or client deployments.
8. Intellectual Property
All logos (Magoro, TradeIQ Mentor, WattLink, Ketra Voice, NEXACT, Vendo'ma), design system (MDS), code, copy, and The Trader Discipline Playbook are owned by Magoro Smart Systems. Do not copy, recolour, distort logos. You may link to us.
9. AI Infrastructure & Honesty Clause
Ketra Voice and other AI-driven features are powered by third-party AI model providers (listed in our Privacy Policy). We continually adopt the most current and appropriate AI models and tools available for each task, rather than committing to any single named model. We commit to: no fake testimonials, no invented case studies, no claims that a product or feature does something it doesn't, no claim that WattLink is live when in development. Statuses on ecosystem cards are source of truth.
AI-generated responses can occasionally be incomplete or incorrect and are not professional advice. We design our agents to answer from the information you give us, or to say they cannot help and point to a real person.
10. Disclaimer & Liability
Site provided "as is". We strive for uptime but do not guarantee 100%. To maximum extent permitted by SA law, Magoro Smart Systems is not liable for indirect, incidental, or consequential damages. Total liability capped at amount you paid us in last 3 months (or R1,000 if no payment).
Nothing in this section limits liability that cannot lawfully be limited, including liability for gross negligence. We are not responsible for the acts, decisions or outages of third-party platforms, including Meta, WhatsApp, payment providers, and cloud or AI providers.
11. Privacy & POPIA
Use of personal information governed by our Privacy Policy & POPIA Notice. By using site and submitting forms, you consent per POPIA checkbox.
12. Termination
We may suspend or terminate access for breach of terms, non-payment of any paid service (after written notice), or security risk. You may cancel any paid service at any time as set out in our Cancellation Policy.
13. Changes to these Terms
We may update these Terms. The "Last updated" date above shows the current version. For paying clients we will give notice of material changes by email at least 14 days before they take effect. If you do not agree with a change you may cancel before it takes effect; continuing to use the service after that means you accept it. Price changes are dealt with under "Fees, Payment and Price Changes".
14. General
- Whole agreement: These Terms, our Privacy Policy, Refund Policy and Cancellation Policy, and any written agreement or invoice we give you for a specific service, are the whole agreement between us. If a signed NEXACT contract conflicts with these Terms, the contract governs.
- If part is unenforceable: The rest of these Terms still applies.
- Notices: We give notices to the email address you gave us. You can give notice to support@magorosmartsystems.co.za.
- Plain language: We write these Terms in plain language. If something is unclear, ask us before you accept.
